Chapter I

GENERAL PROVISIONS

  1. The Foundation under the name FUNDACJA Z MOJEGO ŁOWISKA, hereinafter referred to as the Foundation, operates on the basis of the Act of 6 April 1984 on Foundations (Journal of Laws of 2016, item 40, as amended) and the provisions of this Statute.

  2. The Foundation was established by Daniel Sondej, hereinafter referred to as the "Founder", by a notarial deed drawn up on August 17, 2021 by notary Ewelina Anna Hanyś at the Notary's Office in Wrocław.

  1. The headquarters of the Foundation is in Wrocław.

  2. The duration of the Foundation is indefinite.

  3. The area of ​​operation of the Foundation is the Republic of Poland; however, to the extent necessary for the proper implementation of its goals, the Foundation may also operate outside the territory of the Republic of Poland.

  4. For the purposes of cooperation with foreign countries, the Foundation may use a translation of its name in selected foreign languages.

  5. The Foundation may establish branches and other organizational units in Poland and abroad, in accordance with the relevant provisions of Polish law or a third country.

  6. The Foundation may be a member of an organization with a similar activity profile.

  1. The Foundation has legal personality.

  2. The minister responsible for the Foundation's purpose is the minister responsible for climate and environment.

The Foundation may use a distinctive graphic symbol (logo).

The Foundation may establish certificates, badges, and medals of honor and award them, along with other prizes and distinctions, to natural and legal persons who have rendered outstanding services to the Foundation and who contribute to the achievement of the Foundation's objectives.

Chapter II. Objectives and principles of operation of the Foundation

The Foundation's goals are:

  1. Charitable activities.

  2. Health protection and promotion.

  3. Promoting the idea of ​​the Public Access to Defibrillation Program and knowledge about early defibrillation using an AED.

  4. Undertaking and supporting activities to promote first aid and raise health awareness.

  5. Promotion and support of activities aimed at preserving hunting traditions and culture, protecting and developing hunting and fishing in the Republic of Poland, which constitute an important part of the national historical heritage and contribute to creating a sense of ecological awareness and responsibility for the resources of our native nature.

  6. Building cultural awareness among citizens related to Polish culinary traditions, including the promotion of game, fish and forest products from sustainable hunting, angling and fishing.

  7. Promoting hunting entrepreneurship and proper hunting management, cynology and trophy science relating to the understanding of the rules governing the animal world in the contemporary conditions of human pressure on the environment, as well as promoting a multi-faceted hunting economy, concurrent with economic activity in Poland related to agriculture, forestry and fishing.

  8. Creating a mechanism for hunters to participate in the creation of draft legal regulations regarding hunting, or for professional review of those introduced into legal circulation by competent authorities.

  9. Maintaining and promoting national traditions, cultivating Polishness and developing national, civic and cultural awareness through activities for the development of civil society and local communities and promoting civic activity in all social strata.

  10. Activities for European integration and the development of contacts and cooperation, including the development of scientific, cultural, political and social contacts between representatives of different countries and communities, with attention to tolerance and respect for diversity.

  11. Tourism and sightseeing, including recreation for children and youth.

  12. Activities related to ecology and animal protection, as well as the protection of the natural environment, natural and national heritage, natural assets, the natural values ​​of Polish nature and the welfare of wild animals, as well as collecting data documenting the condition and threats to nature.

  13. Supporting organizations, individuals, and companies involved in the care of wild animals injured as a result of various incidents.

  14. Supporting hunting clubs, fishing clubs, hunters, foresters, and anglers in the creation of legal acts concerning a given group.

  15. Supporting the development and raising public awareness of the functioning of archery and crossbow hunting in Poland by lobbying for the introduction of hunting opportunities with this type of equipment.

  16. Increasing access to firearms, sporting, hunting and other weapons, and training in their safe and responsible use.

  17. Charitable and philanthropic activities, especially for the hunters' community, promotion and organization of volunteering, including activities for the Polish hunters' community in terms of assistance for individuals or for various organizational forms of hunters' associations, as well as social assistance, including assistance for families and people in difficult life situations and equal opportunities for these families and people, as well as activities for people with disabilities.

  18. Environmental education, raising public awareness of the functioning of wildlife, the functioning of sustainable hunting and fishing.

  19. Education of practicing hunters, foresters and anglers, as well as those wishing to obtain hunting licenses, in terms of building a positive image of people involved in a given field, as well as promoting an empathetic attitude and a healthy lifestyle in contact with the surrounding nature, as features of hunting that is part of Polish national culture.

  20. Nature and hunting education, cooperation with schools by organizing lectures, talks and all legal activities supporting the protection of nature, science, education and upbringing, in particular supporting educational, cultural and social activities and promoting the results of scientific research on the protection of nature and the natural environment, the welfare of wild animals and existing threats.

  21. Promoting sports, combat and recreational shooting among adults, youth and children, and disseminating their knowledge and skills for the benefit of national defence.

  22. Scientific activities, especially in relation to natural sciences, research, development and implementation of conservation action plans.

The Foundation pursues its goals through:

  1. conducting informational and educational communications via our own media and social media,

  2. establishing contacts with institutions and people related to hunting, fishing and hunting and collecting information from them on the current needs in each of these areas,

  3. publication of guide, expert and information articles on publicly available websites,

  4. organizing training courses, congresses, conferences and other events that improve the level of knowledge and qualifications of participants,

  1. conducting training, courses, workshops and internships for people working with chronically and terminally ill children and their families,

  1. implementation of scholarship programs for people in need – sick or after treatment,

  1. conducting training, therapeutic classes, career counseling, and finding jobs for the Foundation's beneficiaries,

  2. research, promotional, publishing and awareness-raising activities, including film, radio and media productions,

  1. cooperation with government and local government administration and non-governmental organizations within the scope specified in the Foundation's objectives,

  2. organizing and providing advice and professional counseling in the field of first aid using AED defibrillators,

  3. cooperation with other non-governmental organizations, including the free provision of medical equipment belonging to the Foundation.

The Foundation pursues its objectives by conducting paid and unpaid public benefit activities within the scope specified in §7 points a.k.

Chapter III. Assets and income of the Foundation

The Foundation’s assets include the founding capital in the amount of PLN 1,000 (one thousand zlotys) and other property acquired by the Foundation in the course of its operation.

  1. The Foundation's income may come from:

  2. domestic and foreign donations, bequests and inheritances,

  3. subsidies, subventions and grants

  4. from public collections

  5. from the Foundation's assets

  6. interest and bank deposits

  7. paid statutory activity.

  1. All income earned by the Foundation is allocated exclusively to statutory activities and to cover the necessary operating costs of the Foundation.

Chapter IV. Foundation Authorities

The authorities of the Foundation are:

  1. The Management Board of the Foundation, hereinafter referred to as the Management Board.

  • 12

  1. The Foundation's Management Board consists of 2 to 4 people, including the President and Vice-President.

  2. Members of the Management Board are appointed and dismissed by the Founder. The Founder may become a member of the Management Board.

  3. Members of the Management Board are appointed for an indefinite period.

  4. Membership in the Management Board ceases as a result of:

  1. revocation by the Founder,

  2. submitting a written resignation to the Founder,

  3. loss of civil rights as a result of being convicted by a final court judgment for an intentional crime,

  4. death of a Management Board member.

  1. The Management Board manages the Foundation's activities and represents it externally.

  2. The competences of the Management Board and its members include in particular:

  3. managing the current activities of the Foundation,

  4. implementation of statutory goals,

  5. preparing work plans and budgets,

  6. managing the Foundation's assets,

  7. representing the Foundation externally,

  8. hiring employees and determining their remuneration,

  9. submitting an application to the Founder to amend the statute,

  10. applying to the Founder for the merger or liquidation of the Foundation.

  11. preparing and presenting reports on the Foundation's activities to the supervising minister.

  12. Every year, the Management Board is obliged to submit to the Founder an annual report on the Foundation's activities.

  13. The President and Members of the Management Board may receive reimbursement of reasonable expenses or remuneration for performing their duties.

  1. Meetings of the Management Board are held as needed, but not less frequently than once a quarter.

  2. Meetings of the Management Board are convened by the President by sending information about the date by e-mail at least 14 days before the planned meeting.

  3. All members of the Management Board must be informed about the meeting.

  4. The Management Board makes decisions through resolutions by a simple majority of votes in the presence of at least half of its members, unless further provisions provide otherwise. In the event of a tie, the President of the Management Board has the casting vote.

Method of representation and incurring financial obligations

  1. Declarations of intent on behalf of the Foundation are made by the President and the Vice-President of the Foundation acting jointly.

  2. In the case of a two-person management board in contracts to which a member of the foundation's management board is a party, the foundation is represented by another member of the management board individually.

  3. The Management Board may appoint proxies to act on behalf of the Foundation, specifying the scope of their authorization.

Chapter V. Final Provisions

Amendments to the Foundation's Statute are made by the Founder at the request of the Management Board or on his or her own initiative. Amendments to the statute may relate to the objectives set forth in the founding act.

  • 17

  1. The Foundation may merge with another foundation to effectively pursue its goals.

  2. A merger with another foundation may not take place if it could significantly change the purpose of the Foundation.

  3. In matters of merger with another foundation, the decision is made by the Founder, who authorizes the President of the Management Board to conclude a merger agreement.

  1. The Foundation shall be liquidated when the purposes for which it was established are achieved or when its financial resources and assets are exhausted.

  2. The decision on liquidation is made by the Founder at the request of the Management Board or on his own initiative.

  3. The liquidation is conducted by a liquidator appointed and dismissed by the Founder.

  4. The financial resources and assets remaining after the liquidation of the Foundation may be allocated, by decision of the Founder, to organisations operating in the Republic of Poland with similar goals.

  5. After the death of the Founder, his powers will be exercised by the Foundation's Management Board.
